Terms of Service

1. Parties

These Terms of Service ("Terms") are a legal agreement between you ("Customer", "you") and JINA CODE SYSTEMS ("Company", "we", "us"), the operator of the Jina Connect platform. By creating an account or using the Service, you agree to be bound by these Terms.

2. Description of Service

Jina Connect is a multi-channel CPaaS (Communications Platform as a Service) that enables you to send and receive communications over WhatsApp, Voice (programmable calls, IVR, recordings, transcription), Telegram, SMS, and RCS. The platform provides APIs, a web dashboard, automation tools, a team inbox, and an MCP server for AI agent integration. The core platform is open-source under AGPL v3.

3. Account Registration

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the security of your account credentials and API keys.
• You must be at least 18 years old and legally capable of entering into a binding agreement.
• One account per person or legal entity, unless expressly permitted under an Agency or Reseller agreement.

4. Acceptable Use

You agree to use Jina Connect only for lawful purposes and in compliance with all applicable laws, including but not limited to:

• Meta's WhatsApp Business Policy and WhatsApp Commerce Policy for all WhatsApp messages.
• TRAI regulations for SMS messaging in India, including DLT registration for commercial messages.
• India's Digital Personal Data Protection Act, 2023 (DPDP Act).
• All applicable anti-spam laws in your target jurisdiction.

You must not use the Service to:

• Send unsolicited bulk messages (spam) to any recipient who has not opted in.
• Promote illegal products, services, or activities.
• Harass, threaten, or defraud any person.
• Impersonate any person or entity.
• Violate WhatsApp's policies in any way — doing so may result in your WhatsApp Business Account (WABA) being banned by Meta, for which we are not responsible.
• Attempt to reverse-engineer or circumvent the platform's security measures.

5. WhatsApp-Specific Terms

You acknowledge that:

• Message templates must be approved by Meta before use.
• You are responsible for obtaining valid opt-in from end users before sending WhatsApp messages.
• Meta's per-conversation pricing is separate from Jina Connect's platform fee and is billed by your BSP.

6. Fees and Payment

• Paid plans are billed monthly or annually as selected at signup.
• Jina Connect's platform fee is separate from messaging costs charged by Meta and your BSP/carrier.
• All fees are in Indian Rupees (INR) unless stated otherwise and are inclusive of applicable GST.
• Payments are processed by Razorpay. By providing payment information, you authorise Razorpay to charge your selected payment method.
• Refunds are governed by our Refund Policy.

7. Open-Source Software

The Jina Connect core platform is open-source software released under the GNU Affero General Public License v3 (AGPL v3). Self-hosted use of the open-source software is free and governed by the AGPL v3 license terms. If you modify and run the software for third parties over a network, you must make your source code available under AGPL v3. The hosted cloud service and enterprise add-ons may include proprietary components not covered by AGPL v3.

8. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of all message content and customer data you process through the platform. You grant us a limited licence to process such data solely to provide the Service.

9. Intellectual Property

The Jina Connect name, logo, trademarks, and proprietary software components are owned by JINA CODE SYSTEMS and may not be used without our written permission. Open-source components are governed by their respective licences (primarily AGPL v3).

10. Service Availability

We aim for high availability but do not guarantee uninterrupted access. Scheduled maintenance will be notified in advance where possible. Our current uptime performance is published on our status page. We are not liable for losses caused by downtime, errors, or interruptions in third-party services (Meta, carriers, BSPs).

11. Limitation of Liability

To the maximum extent permitted by applicable law, JINA CODE SYSTEMS shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability to you for any claims shall not exceed the amount paid by you for the Service in the three months preceding the claim.

12. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or if required to do so by law. Upon termination, your access to the hosted service will cease and your data will be deleted per our retention policy (see Privacy Policy).

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in India. We encourage resolving disputes amicably — please contact us first at hello@jinacode.systems.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email at least 15 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
